This Privacy Policy (the “Policy”) describes how and why SIA "LeadProm Media", a company duly incorporated under the laws of the Republic of Latvia, having its registered office at Matīsa iela, 61 - 31, Rīga, LV-1009, Latvia, and registered with the Register of Enterprises of the Republic of Latvia under company number 40203230340 (the “Merchanto”, “We”, “Us”, or “Our”) may collect, store, use, and/or share ("process") the Personal Data described in this Policy.

This Policy applies to your use of our websites, including merchanto.org (the “Website”), our Application Programming Interfaces (“API”), and our chargeback and fraud management services (collectively, the “Services”).

Your use of the Services is subject to this Policy and our Terms of Use (“Agreement”). By accessing or using the Website or Services, You acknowledge that You have read, understood, and accepted this Agreement in its entirety.

Reading this Policy will help You understand Your privacy rights and choices. If You do not agree with our policies and practices, please do not use our Services.

1. GENERAL INFORMATION

1.1. When You visit, use, or navigate Our Website and/or Services, We may process Personal Data depending on how You interact with Us and the Services, the choices You make, and the products and features You use.

1.2. However, for the purpose of providing fraud and chargeback management Services, Merchanto may receive and process Personal Data about the Merchant’s end-customers on behalf of the Merchant. This processing is strictly governed by a separate Data Processing Agreement (DPA) between Merchanto and the Merchant, pursuant to Article 28 of the GDPR.

1.3. We do not sell Your Personal Data to any third parties.

1.4. We process Your Personal Data to provide, improve, and administer Our Services, communicate with You, for security and fraud prevention, and to comply with law. We may also process Your Personal Data for other purposes with Your consent. We process Your Personal Data only when We have a valid legal reason to do so.

1.5. We may share Your Personal Data in specific situations and with specific categories of third parties as outlined in this Privacy Policy.

1.6. We have appropriate technical and organisational measures in place to protect Your Personal Data. However, no electronic transmission over the internet or information storage technology can be guaranteed to be secure, so We cannot promise or guarantee that hackers, cybercriminals, or other unauthorized third parties will not be able to defeat Our security and improperly collect, access, steal, or modify Your Personal Data.

1.7. Depending on where You are located geographically, the applicable privacy law may mean You have certain rights regarding Your Personal Data. The easiest way to exercise Your rights is by contacting Us. We will consider and act upon any request in accordance with applicable data protection laws.

2. PRINCIPLES OF DATA PROCESSING

2.1. We adhere to the following principles in order to protect Your privacy:

  • 2.1.1. Principle of lawfulness and purposefulness — We process Personal Data fairly and in a transparent manner only for the achievement of determined and lawful objectives, and they shall not be processed in a manner not conforming to the objectives of data processing;
  • 2.1.2. Principle of minimalism — We collect Personal Data only to the extent necessary for the achievement of determined purposes and do not keep Personal Data if it is no longer needed;
  • 2.1.3. Principle of restricted use — We use Personal Data for other purposes only with the consent of the data subject or with the permission of a competent authority;
  • 2.1.4. Principle of data quality — We update Personal Data in order to be up-to-date, complete, and necessary for the achievement of the purpose of data processing;
  • 2.1.5. Principle of security and confidentiality — We apply the security measures in order to protect Personal Data from unauthorized or unlawful processing and against accidental loss, destruction, or damage, using appropriate technical and organizational measures;
  • 2.1.6. Principle of individual participation — We ensure the Users to be notified of data collected concerning them, to have access to the data concerning him or her and to have the right to demand the correction of inaccurate or misleading data;
  • 2.1.7. Principle of performance of a contract — We may process Your Personal Data when We believe it is necessary to fulfill Our contractual obligations to You, including providing Our Services or at Your request prior to entering into a contract with You;
  • 2.1.8. Principle of consent — We may process Your Personal Data if You have given Us permission (i.e., consent) to use Your Personal Data for a specific purpose. You can withdraw Your consent at any time;
  • 2.1.9. Principle of legitimate interests — We may process Your Personal Data when We believe it is reasonably necessary to achieve Our legitimate business interests and those interests do not outweigh Your interests and fundamental rights and freedoms.

3. DEFINITIONS

3.1. “Authorized User” means any person or entity designated by the Merchant to access and use the Services solely on the Merchant’s behalf under its Account.

3.2. “Consent” means a clear, freely given, specific, informed, and unambiguous indication of the User’s wishes by which they, through a statement or a clear affirmative action, agree to the processing of their Personal Data.

3.3. “GDPR” means the Regulation (EU) 2016/679 (General Data Protection Regulation).

3.4. “Merchant” (also “You” or “Your”) means any legal entity that registers an Account to use the Services.

3.5. “Personal Data” means information that directly or indirectly identifies an individual such as an Authorized User, including but not limited to name, email address, phone number, and IP address.

3.6. “Visitor” means any person who accesses or browses the Website.

3.7. TERMS NOT DEFINED IN THIS POLICY SHALL HAVE THE SAME MEANING AS IN THE TERMS OF USE.

4. PERSONAL DATA WE PROCESS

4.1. We organize the Personal Data We process into these basic categories: Personal Data You disclose to Us, Information automatically collected, and Information collected from other sources. We do not process special categories of Personal Data (such as health, race, or ethnicity).

4.2. We collect Personal Data that You voluntarily provide to Us when You register an Account, fill out a contact form, subscribe to our marketing materials, or otherwise contact Us.

4.3. The Personal Data We collect may include the following:

  • 4.3.1 Full Company Name
  • 4.3.2 Email Address
  • 4.3.3 Phone Number
  • 4.3.4 Company Website URL

4.4. We may collect data necessary to process Your payment if You make purchases, such as Your payment instrument number, and the security code associated with Your payment instrument.

4.5. You warrant that all Personal Data that You provide to Us is true, complete, and accurate, and You must notify Us of any changes to such Personal Data.

4.6. We automatically collect certain information when You visit, use, or navigate the Website or Services. This information does not reveal Your specific identity but may include device and usage information, such as Your IP address, browser and device characteristics, operating system, language preferences, country, information about how and when You use Our Services, and other technical information. This information is primarily needed to maintain the security and operation of Our Services, and for Our internal analytics and reporting purposes.

4.7. This information may include:

  • 4.7.1. Log and Usage Data: Log and usage data is service-related, diagnostic, usage, and performance information Our Servers automatically collect when You access or use Our Services and which We record in log files. Depending on how You interact with Us, this log data may include Your IP address, device information, browser type, and settings and information about Your activity in Website (such as the date/time stamps associated with Your usage, pages and files viewed, searches, and other actions You take such as which features You use), device event information (such as system activity, error reports (sometimes called "crash dumps"), and hardware settings).
  • 4.7.2. Device Data: We collect device data such as information about Your computer, phone, tablet, or other device You use to access the Website. This device data may include information such as Your IP address (or proxy server), device and application identification numbers, location, browser type, hardware model, Internet service provider and/or mobile carrier, operating system, and system configuration information.
  • 4.7.3. Location Data: We collect location data such as information about Your device's location, which can be either precise or imprecise. How much information We collect depends on the type and settings of the device You use to access the Services. For example, We may use GPS and other technologies to collect geolocation data that tells Us Your current location (based on Your IP address). You can opt out of allowing Us to collect this information either by refusing access to the information or by disabling Your Location setting on Your device. However, if You choose to opt out, You may not be able to use certain aspects of the Services.

4.8. This information is primarily needed to maintain the security and operation of our Services, and for our internal analytics, marketing, and reporting purposes.

4.9. We may obtain information about You from other sources. In order to enhance Our ability to provide relevant marketing, offers, and Services to You and update Our records, We may obtain information about You from other sources, such as public databases, joint marketing partners, data providers, and from other Third parties. This information may include email addresses, phone numbers, intent data (or User behavior data), Internet Protocol (IP) addresses, or other data for purposes of ensuring the User’s registration and providing Services.

4.10. In case We obtain any other data, which is not indicated in this Privacy Policy, We take all necessary measures to ensure the same level of security as for the Personal Data You provide to Us. We do not collect any data for which We do not have the legal grounds.

5. HOW WE USE YOUR PERSONAL DATA

5.1. We may use Your Personal Data for a variety of purposes, primarily, relating to providing Our Service and information about Our Service. We may also use the information for such other purposes as otherwise allowed by law.

  • 5.3.1. To create and manage Your Merchant Account and user profiles.
  • 5.3.2. To process orders, transactions, and bill You for the Services.
  • 5.3.3. To provide technical support and assistance.

5.4. On the basis of Our legitimate interest We will use Your Personal Data to:

  • 5.4.1. To improve the Services, including testing, research, internal analytics, and product development.
  • 5.4.2. To ensure fraud prevention, security, and to debug and repair errors.
  • 5.4.3. To detect, investigate, and prevent illegal activities or conduct that may violate our Terms of Use or this Policy.
  • 5.4.4. To respond to Your inquiries and contact You when necessary.
  • 5.4.5. To send You information about the Company or Services (e.g., updates, transactional messages).

5.5. To comply with Legal Obligations:

  • 5.5.1. To fulfill our obligations under applicable law, regulations, or court orders.
  • 5.5.2. To protect the rights and property of the Company, our Users, or third parties.
  • 5.5.3. To enforce our agreements, resolve disputes, and respond to legal claims.

6. SHARING YOUR PERSONAL DATA WITH THE THIRD PARTIES

6.1. We may share Your data with third parties, including vendors, service providers, contractors, or agents (“Third parties”) who perform services for Us or on Our behalf and require access to such information to do that work.

6.2. We limit the information provided to such Third parties to that which is reasonably necessary for them to perform their functions. However, We cannot provide any guarantees for their actions and We do not take the responsibility for such actions.

6.3. The categories of Third Parties We may share Personal Data include, without limitation:

6.4. We may also share Your Personal Data with our insurers and professional advisors (lawyers, auditors) or to comply with law, respond to legal processes, or protect our rights.

7. DATA STORAGE AND INTERNATIONAL TRANSFERS

7.1. Your Personal Data is stored on servers located in the European Union. Our primary hosting provider is Amazon Web Services.

7.2. When We transfer Your Personal Data outside of the European Economic Area (EEA), We ensure an adequate level of protection by relying on mechanisms like the European Commission's Standard Contractual Clauses (SCCs) or other legally valid transfer mechanisms.

8. CONSENT TO PERSONAL DATA PROCESSING

8.1. When You fill out a contact form on the Website, You provide Your consent by agreeing to the statement: "By providing your email address, you agree to our Terms of Service and Privacy Policy.”.

8.2. When You register for an Account, You give Your Consent by checking the checkbox regarding Your agreement to this Policy. Your Consent covers all processing activities carried out for the purposes stated in this Policy.

8.3. For the use of cookies, We rely on the consent You provide via our cookie banner (see Section 9).

8.4. You have the right to withdraw Your Consent at any time by sending an email to support@merchanto.org. Your withdrawal shall not affect the lawfulness of processing based on Consent before its withdrawal.

9. COOKIES AND OTHER TRACKING TECHNOLOGIES

9.1. When You visit, navigate or use the Website, little text files known as “cookies” are stored on Your device. These files provide information that may be used to store login credentials, Your preferences, and other browsing-related data. Cookies are particularly useful for tracking Your activity, optimizing Website performance, and personalizing content.

9.2. Retention period. Some cookies continue to save information while the session is active.

9.3. Purpose of cookies. Cookies serve a variety of purposes, including facilitating easy Website navigation, storing Your preferences, and enhancing experience. We are responsible for processing Your Personal Information and use cookies to: enhance Our Website, optimize and enhance Our Services.

10. COMPLIANCE WITH GENERAL DATA PROTECTION REGULATION (GDPR), CALIFORNIA CONSUMER PRIVACY ACT (CCPA) AND OTHER LAWS

10.1. If You are located in the European Economic Area (EEA) privacy rights are granted and all processing of Personal Data is performed in accordance with regulations and rules following the Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 on the protection of natural persons with regard to the processing of Personal Data and on the free movement of such data, known as the General Data Protection Regulation (“GDPR”).

  • 10.1.1. Under Art. 6 of the GDPR, We only process Personal Data, where We have a lawful basis for doing so.
  • 10.1.2. The processing of Personal Data, described in section 5 of this Privacy Policy is based on contract obligations (Art. 6 (1) lit. (b) GDPR) and is performed only for the purposes specified in this Privacy Policy to meet Your request concerning the Service, to formalize the development of the contractual relationship.
  • 10.1.3. The processing of Personal Data, described this Privacy Policy is based on a legitimate interest (Art. 6 (1) lit. (f) GDPR) and is performed only for the purposes specified in this Privacy Policy to contact You about, and conduct, surveys or polls You choose to take part in and to analyze the data collected for market research purposes.
  • 10.1.4. The processing of Personal Data, described in section 5 of this Privacy Policy is based on consent (Art. 6 (1) lit. (a) GDPR) and is performed only for the purposes specified in this Privacy Policy to personalize Your experience with Our Service and for marketing and promotion of Our Services or related products, including those of a third party’s products which are related to Our Services.

10.2. If You are located in the United States of America, all processing of Personal Data is performed in accordance with applicable law of the state where You are located.

10.3. If You are located in the United Kingdom, all processing of Personal Data is performed in accordance with regulations and rules following the Data Protection Act 2018 (“DPA 2018”) and UK General Data Protection Regulation (“UK GDPR”).

10.4. If You are located in Canada, all processing of Personal Data is performed in accordance with regulations and rules following Personal Information Protection and Electronic Documents Act (S.C. 2000, c. 5) (“PIPEDA”).

10.5. In case if You are located in any other jurisdiction, the laws of such jurisdictions are applicable for Your and all Personal Data processing is performed in accordance with the regulations and rules of such jurisdiction.

10.6. We process Personal Data as a Controller, as defined in the GDPR.

11. TERMS OF STORING INFORMATION AND DELETION

11.1. We store Your Personal Data for as long as needed to provide You with Our Services. We may store data longer, if a longer retention period is required or permitted by law (such as tax, accounting, or other legal requirements), but only in a way that it cannot be tracked back to You. When Personal Data is no longer needed, We delete it using reasonable measures to protect the data from unauthorized access or use.

11.2. EU Territory. We store Personal Data as long as it is needed for the provision of Our Services. Traffic information is erased or made anonymous when it is no longer needed for the purpose of the transmission or, in the case of payable services, up to the end of the period during which the bill may lawfully be challenged or payment pursued. Direct marketing and provision of value-added services information (including traffic information used for these purposes) are stored as long as the same is necessary for the provision of these activities, or up to the time when a User opts out from such use in accordance with this Privacy Policy. Other information is stored for as long as We consider it to be necessary for the provision of Our Services. This Section shall not prevent any technical storage or access to information for the sole purpose of carrying out the transmission of a communication or as strictly necessary in order for Us to provide the Service You requested.

11.3. As explained in the GDPR statement, We strive to anonymize the data when possible. If You decide to exercise Your right to erasure We will also inform Our providers to delete all Your data.

11.4. US Territory. We retain Personal Data only for the minimum period necessary for each purpose, in compliance with applicable state privacy laws.

11.5. Other territories. Storing might be different depending on the territory of collecting the information and the applicable legislation, but We always strive to store the information only as long as it is needed for the purposes of providing, improving, or personalizing Our Services.

12. INFORMATION SECURITY

12.1. We care to ensure the security of Personal Data. We follow generally accepted industry standards and maintain appropriate technical, physical, and administrative security measures to provide reasonable protection for Your Personal Data from unauthorized access, loss, manipulation, destruction, or unauthorized disclosure.

12.2. There is no 100% secure method of transmission over the Internet or method of electronic storage. Therefore, We cannot guarantee its absolute security. You should only access the Services within a secure environment.

12.3. As a Service provider that handles data related to payment transactions for chargeback and fraud prevention purposes, Merchanto maintains compliance with the Payment Card Industry Data Security Standard (PCI DSS) to ensure the highest level of protection for Cardholder Data Environment.

13. INFORMATION RELATING TO CHILDREN

13.1. Our Services are not intended for children under the age of 18. Our Services are B2B and intended for legal entities.

13.2. By registering a Merchant Account, You represent that any Authorized User accessing the account is at least 18 years old. If We become aware that We have unknowingly collected personally identifiable information from a child under the age of 18, We will make reasonable efforts to delete such information from Our records. If You believe We might have any information from or about a child under 18, please contact Us at support@merchanto.org.

14. PRIVACY RIGHTS

14.1. In some regions (like the EEA, UK, Switzerland and others), You have certain rights under applicable data protection laws. These may include the right

  • 14.1.1. to request access and obtain a copy of Your Personal Data;
  • 14.1.2. to request rectification or erasure of Your Personal Data;
  • 14.1.3. to restrict the processing of Your Personal Data;
  • 14.1.4. if applicable, to data portability;
  • 14.1.5. and not to be subject to automated decision-making.
  • 14.1.6. In certain circumstances, You may also have the right to object to the processing of Your Personal Data.

14.2. If You are located in the United States of America, some states (including but not limited to California, Virginia, Colorado, Connecticut, Utah, Florida, Oregon, Texas) introduce local privacy laws. Considering them, You have such rights:

  • 14.2.1. right to be informed whether or not We are processing Your Personal Data;
  • 14.2.2. right to access Your Personal Data;
  • 14.2.3. right to correct inaccuracies in Your Personal Data;
  • 14.2.4. right to request deletion of Your Personal Data;
  • 14.2.5. right to obtain a copy of Your Personal Data You previously shared with Us;
  • 14.2.6. right to opt out of the processing of Your Personal Data if it is used for targeted advertising, the sale of personal data, or profiling in furtherance of decisions that produce legal or similarly significant effects (“profiling”);
  • 14.2.7. to appeal Our decision and to be informed regarding the taken measures within the terms, established by law.

14.3. If You are located in any other region, We consider the privacy laws applicable in Your jurisdiction and the rights You have.

14.4. Under this Privacy Policy You can access, withdraw consent, object, restrict the processing, receive, correct inaccuracies, request deletion of Your Personal Data. For that, contact Us directly at support@merchanto.org We will acknowledge Your request within seventy-two (72) hours and handle it promptly and as required by law.

  • 14.4.1. Right to access and to be informed whether or not We are processing Your Personal Data. You may contact Us to get confirmation as to whether or not We are processing Your Personal Data. When We process Your Personal Data, We inform You (in particular in this Privacy Policy) of what categories of Personal Data We process regarding You, the processing purposes, the categories of recipients to whom Personal Data have been or will be disclosed, and the envisaged storage period or criteria to determine that period.
  • 14.4.2. Right to withdraw consent. In case Our processing is based on the Consent granted, You may withdraw the Consent at any time by contacting us. You can withdraw Your Consent at any time by replying to the email with Your withdrawal and Your Personal Data will be deleted in 48 (forty eight) hours. Withdrawing Consent may lead to fewer possibilities or the impossibility to use Our Services. Notwithstanding any Consent granted beforehand for direct marketing purposes, You have the right to prohibit Us from using Personal Data for direct marketing purposes, by contacting Us or by using the functionalities of the Services or unsubscribe possibilities in connection with Our direct marketing messages.
  • 14.4.3. Right to object. In case Our processing is based on Our legitimate interest to run, maintain and develop Our business, You have the right to object at any time to Our processing. We shall then no longer process Your Personal Data unless for the provision of Our Services or if We demonstrate other compelling legitimate grounds for Our processing that override Your interests, rights, and freedoms or for legal claims.
  • 14.4.4. Right to restriction of the processing. You have the right to obtain from Us restriction of processing of Your Personal Data, as foreseen by applicable data protection law, e.g. to allow Our verification of the accuracy of Personal Data after Your contesting of accuracy or to prevent Us from erasing Personal Data when Personal Data is no longer necessary for the purposes but still required for Your legal claims or when Our processing is unlawful. Restriction of processing may lead to fewer possibilities or the impossibility to use Our Services.
  • 14.4.5. Right to data portability. You have the right to receive Your Personal Data from Us in a structured, commonly used, and machine-readable format and to independently transmit those data to a third party, in case Our processing is based on Your Consent and carried out by automated means.
  • 14.4.6. Right to correct inaccuracies. If You would at any time like to review or change the information in User Account or terminate User Account, You can: log in to User Account settings and update User Account or contact Us using the contact information provided.
  • 14.4.7. Right to request deletion of Your Personal Data. Upon Your request to terminate User Account and Your Personal Data, We will deactivate or delete User Account and Your Personal Data and information from Our active databases. However, We may retain some information in Our files to prevent fraud, troubleshoot problems, assist with any investigations, enforce Our legal terms and/or comply with applicable legal requirements.
  • 14.4.8. Right to non-discrimination for the exercise of a Consumer’s Privacy Rights. We will not discriminate against You if You exercise Your privacy rights.
  • 14.4.9. Right to limit use and disclosure of Sensitive Data. If You are located in the United States of America You have the right to direct the Company to limit the use of Your Sensitive Data to that use which is necessary to perform the Services. To exercise Your right You should email the company with such a request.

14.5. How to use these rights. To exercise any of the above-mentioned rights, You should primarily use the functions offered by Our Services. If such functions are however not sufficient for exercising such rights, You shall send Us a letter or email to the address set out below under Contact, including (but not limited to) the following information: full name, phone number, email address. We may request additional information necessary to confirm Your identity. We may reject requests that are unreasonably repetitive, excessive, or manifestly unfounded, but it does not deprive You of the right to retry Your request.

14.6. You can designate an authorized agent to make a request under the applicable regulation, for example CCPA, on Your behalf. We may deny a request from an authorized agent that does not submit proof that they have been validly authorized to act on Your behalf in accordance with the applicable law.

15. APPLICATION OF THIS PRIVACY POLICY

15.1. This Privacy Policy is applicable to Our Services. Once redirected to another service, website, or app, this Privacy Policy is no longer applicable.

16. ACCEPTANCE OF THESE CONDITIONS

16.1. We assume that all Users have carefully read this document and agree to its content when they provide their Consent to use Our Services during the registration of the User Account. If You do not agree with this Privacy Policy, You should refrain from using the Services and do not provide Your consent.

17. CHANGES AND UPDATES TO OUR PRIVACY POLICY

17.1. From time to time, We may update this Privacy Policy. We encourage You to periodically check back and review this Policy so that You always will know what information We collect, how We use it, and with whom We share it.
